Powerful Announces Transition to Cooperative Governance Model, Extending Cooperative Principles to Its Own Structure

HAPPY VALLEY, OREGON — Powerful, the web design, hosting, and digital strategy firm that has served more than 300 electric cooperatives, municipal utilities, broadband providers, and statewide trade associations over the past two decades, today announced its intention to transition to a cooperative governance model.

The new entity, Powerful Cooperative, Inc., has been incorporated in Oregon under ORS Chapter 62, the state’s cooperative corporations statute. The organization has secured its federal tax identification, and bylaws are being finalized with legal counsel. Over time, many assets of the existing business will move into the new cooperative structure.

The transition to the cooperative model is grounded in three commitments that have shaped the company’s work for years.

1. Worker ownership and democratic workplaces. Team members who choose to become member co-owners will have a vested stake in the cooperative, a voice in its governance, and the opportunity to receive patronage — a share of the organization’s surplus distributed equally among co-owner team members. Membership will be earned through a defined onboarding process that includes cooperative education, a time commitment, and a financial buy-in.
2. Serving cooperatives as a cooperative. Powerful’s clients have long included rural electric cooperatives, telecommunications cooperatives, and member-owned public power organizations. By adopting a similar governance model its clients operate under, Powerful is aligning its internal structure with the values it has always championed externally.
3. Sustainability beyond any individual. A core motivation for the transition is ensuring that the organization can operate independent of any one person, founder included. Distributing ownership and governance among the people doing the work creates a structure designed to endure across generations of team members.

A second class of membership will be available to clients. Client member-owners will will be able to vote on matters and participate meaningfully in the cooperative’s governance — recognizing that the organizations who use our services have a legitimate stake in how those services evolve.
